Seqenta – Ecosystem & User Generated Content Terms
Effective Date: 08/07/2026
Applies to: All users of Seqenta platform features involving user-generated signals, reports, or “Flags”.
1. Purpose of the Ecosystem
The Seqenta ecosystem enables users to contribute intelligence about companies through user-generated signals, observations, and reports (“Flags”). The ecosystem is designed to supplement publicly available and licensed data with real-world insights from the Seqenta community.
By participating in the ecosystem, you agree to these terms (the “Ecosystem Terms”) in addition to Seqenta’s Terms of Service and Privacy Policy. Capitalised terms not defined in these Ecosystem Terms have the meanings given in the Terms of Service.
2. Definition of a “Flag”
A “Flag” means any content submitted by a user through the Seqenta platform, including but not limited to:
- Observations about a company’s operations, behaviour, or status;
- Reports of positive or negative experiences;
- Signals regarding financial health, risk, or performance; and
- Commentary or structured data submissions.
Flags may be submitted through forms, structured inputs, APIs, or other submission mechanisms provided by the platform.
3. Nature of Information and Platform Role
Flags are user-generated content and:
- Represent the opinions, experiences, or observations of individual users;
- Are not verified, endorsed, or approved by Seqenta;
- Should not be treated as statements of fact; and
- Do not constitute financial, legal, or professional advice.
Seqenta provides a neutral platform for the submission and display of user-generated content. Seqenta acts as an intermediary platform and does not act as a publisher of user-generated content. Seqenta does not initiate, create, or substantively modify the content of Flags.
The presence of a Flag on the platform does not imply that Seqenta has verified its accuracy or endorses its content.
Any moderation, removal, or visibility control undertaken by Seqenta is for platform governance purposes only and does not constitute editorial control, endorsement, or assumption of responsibility for user-generated content.
4. Acceptable Use of the Flagging System
When submitting Flags, you agree to:
- Provide information that is truthful to the best of your knowledge;
- Have a reasonable basis for any claims or observations made;
- Ensure that you have all necessary rights, permissions, and lawful basis to submit such content;
- Not submit content that is defamatory, unlawful, malicious, or knowingly false;
- Not use the system to harass, harm, or unfairly target individuals or organisations;
- Not submit content that infringes the intellectual property rights or other rights of any third party; and
- Not use the system for competitive sabotage, market manipulation, or any improper purpose.
You acknowledge that submitting unlawful or harmful content may expose you to legal liability under the Defamation Act 2013 and other applicable laws.
5. Compliance Review and Content Controls
Seqenta may, but is not obligated to, conduct a compliance review of submitted Flags. Any such review is limited to identifying content that may be:
- Unlawful or potentially defamatory;
- In breach of platform policies; or
- Harmful, misleading, or abusive.
A compliance review does not mean that Seqenta:
- Verifies the accuracy of the content;
- Endorses or approves the content; or
- Accepts responsibility for the content.
Seqenta has no obligation to monitor, screen, or proactively review user-generated content.
Seqenta reserves the right, at its sole discretion, to:
- Remove, edit, or restrict the visibility of any Flag;
- Request additional information or evidence from the submitting user; and
- Suspend or terminate accounts that misuse the system.
Seqenta is under no obligation to retain any user-generated content and may delete content at its discretion.
6. Visibility and Distribution
Flags submitted to the platform may be:
- Visible to other registered users;
- Included in company profiles, scores, or dashboards;
- Used in alerts or notifications; and
- Displayed in aggregated, summarised, or derived formats.
Seqenta may control the visibility and distribution of Flags at its sole discretion, including limiting access based on subscription tier, user type, or geographic availability.
All such use is subject to the licence granted in Clause 8.
7. Aggregation and Anonymisation
Seqenta may aggregate and anonymise Flag data and other ecosystem content. Aggregated and anonymised data may be used to:
- Generate scores, benchmarks, and risk indicators;
- Identify trends and patterns across industries or regions; and
- Create analytics, insights, and commercial data products.
For the avoidance of doubt, only aggregated or anonymised data may be used or shared without restriction. Where data constitutes personal data, it will be processed in accordance with the Privacy Policy.
8. Commercial Use and Licence to Content
By submitting content to the ecosystem, you grant Seqenta a:
- Worldwide;
- Perpetual;
- Irrevocable;
- Royalty-free; and
- Transferable licence
to use, reproduce, distribute, modify, analyse, aggregate, and commercialise such content.
This licence includes the right to:
- Combine submitted content with other data sources;
- Create derived insights, analytics, and scoring models;
- Include such content in commercial products, APIs, reports, and datasets; and
- Share aggregated and anonymised outputs with third parties.
Users are not entitled to compensation for any use of submitted content.
No personally identifiable information will be disclosed without consent unless required by law.
9. No Reliance
Flags and ecosystem data are provided for informational purposes only.
You must not rely on Flags or ecosystem outputs as the sole basis for:
- Credit, lending, or financing decisions;
- Supplier due diligence or commercial engagement decisions; or
- Legal, regulatory, or compliance assessments.
Independent verification is required.
This clause is without prejudice to the limitations of liability set out in the Terms of Service.
10. User Accountability and Indemnity
You are solely responsible for the content you submit.
You agree to indemnify and hold harmless Seqenta Ltd, its directors, employees, and agents from and against any claims, damages, losses, or liabilities arising directly from:
- Your breach of these Ecosystem Terms or the Terms of Service; or
- Your submission of unlawful, defamatory, infringing, or otherwise harmful content.
11. Reporting and Disputes
If you believe that a Flag is inaccurate, unlawful, or in breach of these Ecosystem Terms, you may report it via the platform or by contacting legal@seqenta.com.
Seqenta will:
- Review reported content within a reasonable timeframe; and
- Take such action as it considers appropriate, including removal, restriction, or no action.
Seqenta does not guarantee response times or specific outcomes in relation to reported content.
Seqenta’s decisions in relation to content disputes shall be final, subject to applicable law and regulatory obligations.
12. Enforcement
Violations of these Ecosystem Terms may result in:
- Removal of submitted Flags;
- Suspension or restriction of platform features;
- Account suspension or termination; and/or
- Referral to law enforcement or regulatory authorities where appropriate.
Seqenta reserves the right to take enforcement action at its sole discretion.
13. Relationship to Terms of Service
These Ecosystem Terms form part of, and are supplementary to, Seqenta’s Terms of Service.
In the event of any conflict between these Ecosystem Terms and the Terms of Service, the Terms of Service shall prevail unless expressly stated otherwise.
14. Governing Law
These Ecosystem Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
